Terms of Service

These Terms govern your use of Taskingly ("Service"), operated by Tarrush Gupta ("we", "us"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

The Taskingly WhatsApp Business Account and messaging channel are operated by Shreekhatuji Appliances Limited, a company registered in India, on behalf of the Service.

You must be at least 18 years old to use the Service. By creating an account you confirm that you are 18 or older and are able to enter into a binding contract. If you are using the Service on behalf of a business, you confirm you are authorised to accept these Terms for it. We may suspend or close any account we believe belongs to someone under 18.

Taskingly lets you assign tasks to people, sends them email reminders, and follows up automatically until tasks are completed or confirmed. Features may change over time.

You must provide accurate information and are responsible for activity under your account and for keeping your password secure. People you assign tasks to ("assignees") do not need an account to receive or respond to tasks.

• Taskingly offers a Free plan (with usage limits) and AI Assistant Pro (₹599/month or ₹5,499/year). Prices are in INR and include applicable taxes. AI Assistant Team is sold directly; contact us for terms.
• A paid plan is a recurring subscription that auto-renews at the end of each billing period until you cancel. Payments are processed by Razorpay; by subscribing you authorize us, via Razorpay, to charge your selected payment method each period.
• We may change prices on a prospective basis with reasonable notice. Existing subscribers keep the rate they subscribed at for as long as that subscription remains active, including on plans we no longer offer to new customers.
• Applicable taxes (e.g., GST), if any, may be added or are inclusive as indicated at checkout.

You agree not to use the Service for any unlawful purpose, to send spam, or to harass anyone. You confirm you have a lawful basis and the necessary permission to add the contact details of any person to the Service and to assign them tasks. You are responsible for the content of the tasks you create and for your interactions with assignees.

You retain ownership of the contacts and task data you add. You grant us a limited licence to host and process that data solely to operate the Service. See our Privacy Policy.

The Service and everything in it, including the software and source code, the design, layout, and look and feel, the user interface and the workflows it implements, the graphics, icons, and logo, and all text and copy, are owned by us or our licensors and are protected by copyright and other laws. We grant you a limited, personal, non-exclusive, non-transferable, and revocable licence to use the Service for its intended purpose while your account is active. No other rights are granted, and all rights not expressly granted in these Terms are reserved.

"Taskingly", the Taskingly logo, and our brand assets are our trademarks. Trade mark applications for Taskingly are pending in India in Class 35 and Class 42. You may not use our name, logo, or any confusingly similar name, mark, or domain name, including in a business name, product name, or web address, without our prior written permission.

If you send us feedback or suggestions, we may use them to improve the Service without any obligation or payment to you.

You may not, and may not permit anyone else to:

• copy, reproduce, republish, mirror, frame, or distribute any part of the Service, including its design, layout, workflows, or text;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Service, except to the extent this restriction is prohibited by law;
• scrape, crawl, harvest, index, or use any bot, script, or other automated means to access the Service or extract data from it;
• use the Service, or any data or content obtained from it, to build, train, or improve any machine learning or artificial intelligence model or dataset, or any competing or substantially similar product or service;
• resell, sublicense, rent, lease, distribute, or otherwise make the Service available to any third party;
• circumvent or attempt to circumvent any authentication, access control, rate limit, usage limit, or other security or technical measure;
• remove, obscure, or alter any copyright, trademark, or other proprietary notice; or
• use automated means to create accounts, or create accounts to evade plan limits or a suspension.

These restrictions apply to the publicly accessible parts of the Service as well as to the parts behind sign-in. If you breach this section, your licence to use the Service ends immediately, and we may suspend or terminate your account and pursue any remedy available to us in law or equity.

The Service relies on third parties including Razorpay (payments), an email delivery provider, and cloud hosting. Their availability is outside our control.

The Service is provided "as is" and "as available", without warranties of any kind. We do not guarantee that reminders or emails will always be delivered on time or that the Service will be uninterrupted or error-free.

To the maximum extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us in the 3 months before the claim. We are not liable for indirect, incidental, or consequential damages, including missed tasks or deadlines.

You may stop using the Service or cancel your subscription at any time. We may suspend or terminate accounts that violate these Terms.

We may update these Terms; we'll post the updated version with a new date and, for material changes, provide reasonable notice. Continued use means acceptance.

These Terms are governed by the laws of India. Courts at Delhi have exclusive jurisdiction.
